Business and Commercial Litigation

The Law Offices of Majdi Y. Hijazin, LTD represent small and medium-sized business owners, real estate developers, mortgagors and many other clients in business and commercial litigation matters.

Business defense

Business litigation matters often involve the following allegations:

  • Fraud
  • Unfair competition
  • Breach of fiduciary duty
  • Defamation
  • Tortious interference with a contract/ business relationship
  • Deceptive business practices

Tortious interference with a contract happens when a third party intentionally and wrongfully interferes with a valid, existing contract. Depending on the circumstances, the plaintiff may recover damages for economic loss caused by the interference.

Breach of fiduciary duty issues often involve conflicts of interest, insider trading and fraud. In general, directors, officers and other high level employees owe a fiduciary duty to the corporation and its shareholders to act in their best interest. When this fiduciary duty is breached, the aggrieved party can sue for damages.

Breach of contract

A breach of contract is a party’s failure to substantially perform his or her obligations under the contract. Some examples of breach of contract include: when a party to the contract refuses to perform, does not follow contract terms, or acts against the intent of the contract. Breaching a contract often causes the other party substantial economic losses, because often the other party is forced to pay additional costs to find a replacement or substitute.

Some of the legal remedies available to the aggrieved party include compensatory damages (in the amount he/she would have received had the contract been performed), restitution, cancellation of the contract, or specific performance (enforcement of the contract). Usually, a court will award damages rather than specific performance.

Commercial real estate

We have years of experience representing clients in commercial real estate disputes involving:

  • Commercial landlord-tenant issues
  • Lease disputes
  • Zoning and land use
  • Residential and commercial development disputes
Liquor Licenses

To operate a tavern, nightclub, or liquor store in Illinois, you must obtain a liquor license from the county/ municipality and also from the State of Illinois. The process of obtaining a liquor license can be complicated, as there are many regulations such as zoning, moratoriums and “dry precincts” that may prohibit you from getting a liquor license in your particular area. Also, the establishment itself must pass inspections by the Illinois fire, health and building departments.

Business owners

Our firm is pleased to represent business owners in matters regarding:

  • Partnership disputes
  • Joint venture disputes
  • Operating Agreement disputes
  • Investment disputes
  • Non-Competition agreements
  • Non-Solicitation agreements
